Definitions

• "Client", "User", "You", "Your" refers to any individual or entity accessing the website or using the services provided by Young Hats Private Limited.
• "Company", "We", "Us", "Our" refers to Young Hats Private Limited, its officers, employees, and contractors.
• "Services" means all services, consultations, deliverables, and digital content offered via our website or through other means.

These Terms, together with our Privacy Policy and any applicable agreements, form the complete agreement between you and the Company regarding your use of the Services.

• All fees are quoted in INR and must be paid according to the invoice terms.
• Deposits are non-refundable unless stated otherwise.
• Delayed payments may result in service suspension or additional late fees.
• No deliverables will be transferred until final payment is received.

All original content and deliverables provided by Young Hats Private Limited remain our property until full payment is received. After that, ownership of final deliverables only (not drafts or unused concepts) transfers to the Client, as detailed in the relevant service agreement.

Unless expressly restricted, we reserve the right to display completed work in our portfolio, marketing materials, and case studies.

You may not:

• Sell or redistribute our content or materials without written permission.
• Use preliminary work or unused concepts outside the agreed project scope.

Any materials, data, or assets provided by you must be:

• Owned or legally licensed by you.
• Free from third-party infringement claims.
• Not misleading, defamatory, or illegal.

By providing content, you grant us a non-exclusive, royalty-free license to use it for the purposes of fulfilling the service. We will not use your content outside the scope of our engagement unless required by law.

Our website and services are provided "as-is" and "as available". We make no guarantees that:

• The website will always be operational or error-free.
• Services will produce guaranteed outcomes (e.g., increased revenue or traffic).
• Content will be free from viruses or other harmful components.

To the maximum extent permitted by applicable law, Young Hats Private Limited and its representatives will not be liable for:

• Any indirect, incidental, or consequential losses (e.g., profit loss, data loss, or business interruption).
• Damages arising from your misuse of our website or services.
• Claims exceeding the fees paid by you in the preceding three (3) months for the specific service in question.

Nothing in these Terms limits our liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be legally excluded.

You agree to indemnify, defend, and hold harmless Young Hats Private Limited from any and all claims, damages, costs, and expenses (including legal fees) arising from:

• Your breach of these Terms.
• Your use or misuse of our website or services.
• Any third-party claims resulting from your content or conduct.

We may update or modify these Terms at any time, at our discretion. Any changes will be posted on this page with a revised "Effective Date." It is your responsibility to check for updates regularly. Continued use of the Services after changes are posted indicates your acceptance of the revised Terms.

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be deemed severed from these Terms without affecting the validity of the remaining provisions.

These Terms are governed by the laws of India. Any disputes related to these Terms or our Services shall fall under the exclusive jurisdiction of the courts located in New Delhi, India.
